SHORT VIDEO PARTNER – TERMS & CONDITIONS OF SERVICE

By purchasing services from Short Video Partner ("Provider," "we," or "us"), the Client ("you") agrees to be bound by these Terms & Conditions.
1. Nature of the Service & AI Disclosure
The services provided involve the creation of short-form videos utilizing a combination of generative Artificial Intelligence (AI) tools and human editing. By engaging this service, the Client acknowledges that:
AI tools can produce unpredictable results. While every effort is made to ensure a polished outcome that aligns with the Client's brief, the Provider cannot guarantee exact replication of specific expectations.
The creative process is interpretive. The final deliverable is subject to the Provider’s creative discretion within the bounds of the Client’s inputs.
2. Intellectual Property Rights
- Client Materials: The Client retains ownership of all logos, text, images, or media provided to us for inclusion in the video.
- Provider’s Warranty: We represent that, to the best of our knowledge, we do not knowingly infringe on third-party copyrights. Assets used are created via AI, provided by the Client, or sourced from public domain/royalty-free libraries licensed for commercial use.
- Final Deliverable Ownership: Upon full payment, ownership of the final, exported video file transfers to the Client for their unlimited use. The Provider retains ownership of the underlying working files, project files, and methodologies used to create the video. The Provider retains a non-exclusive license to use the final video for portfolio and self-promotional purposes.
3. Client Representations & Indemnification
The Client is solely responsible for ensuring they hold the necessary rights, licenses, and permissions for all brand assets, logos, text, scripts, music, or media they provide for the project.
THE CLIENT AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE PROVIDER FROM ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, OR EXPENSES (INCLUDING LEGAL FEES) ARISING FROM A THIRD-PARTY CLAIM THAT MATERIALS PROVIDED BY THE CLIENT INFRINGE UPON THE INTELLECTUAL PROPERTY OR OTHER RIGHTS OF A THIRD PARTY.
4. Music Licensing
The Provider will only use background music that is in the public domain or verified as royalty-free for commercial use. If the Client requires specific licensed or popular music, the Client is solely responsible for obtaining the license and providing the audio file.
5. Deliverables & Technical Specifications
- Single Deliverable Scope: Each purchase constitutes a single project delivering one (1) final video file matching the selected duration (e.g., ordering a 60-second package results in one 60-second video). The purchased duration cannot be split across multiple shorter separate videos (e.g., a 30-second order cannot be delivered as two 15-second videos).
- Standard Format: The final video will be delivered in 720p HD resolution (MP4 format).
- Upgrades: Higher resolutions (e.g., 1080p or 4K) are available only if requested and agreed upon prior to production and may be subject to additional fees.
6. Payment Structure & Commencement of Work
Pre-Payment Required: Due to the custom nature of the digital services, full payment is required upfront before any production work begins.
Process: Payment must be made via the designated link provided on the website or invoice. By completing the checkout process, the Client agrees to the sum listed at checkout.
Third-Party Processors: Payments are processed by third-party vendors (e.g., Gumroad, Stripe). The Client’s transaction is also subject to the terms and policies of the applicable payment processor.
7. Revisions & Delivery Timeline
Revisions: Each project includes one (1) round of minor revisions (e.g., text corrections, timing adjustments) at no additional cost, provided the request is made within 48 hours of initial delivery. Substantial changes to the original creative brief define a new project and will incur additional fees.
Timeline: The Provider agrees to use commercially reasonable efforts to deliver the first draft within two (2) business days. This timeline officially begins only after payment has cleared AND all necessary client inputs/materials have been received.
Delays: The Provider is not responsible for delays caused by slow Client responsiveness, unclear instructions, or technical issues beyond the Provider's reasonable control (e.g., AI platform outages, internet service failures).
8. Refund Policy
Due to the custom nature of digital creative work and the immediate costs incurred upon starting a project:
General: Refunds are generally not provided once production has commenced.
Non-Delivery: If the Provider is unable to deliver the project due to their own fault, a full refund will be issued.
Processor Fees: Please note that platform and processing fees charged by third parties (e.g., Gumroad, Stripe) are often non-refundable by those platforms, even if the Provider issues a refund for the service fee.
9. DISCLAIMER OF WARRANTIES & LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
A. THE SERVICE AND FINAL VIDEO ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. THE PROVIDER MAKES NO GUARANTEES REGARDING SPECIFIC MARKETING RESULTS, ENGAGEMENT METRICS, VIEWS, CLICK-THROUGH RATES, OR SALES PERFORMANCE RESULTING FROM THE USE OF THE VIDEO.
B. THE PROVIDER’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.
C. IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Post-Delivery & Platform Acceptance
Upon delivery of the final video file(s), or upon the Client's public use of the video, the project is deemed accepted. All responsibility for the subsequent use, distribution, modification, or publication of the content transfers immediately to the Client.
The Provider expressly waives any and all liability for claims, disputes, or damages arising after handover, including but not limited to:
- Platform takedowns, ad rejections, account suspensions, or reduced reach based on social media algorithms or policies (e.g., TikTok, Meta, YouTube policies regarding AI content).
- Copyright disputes related to materials originally provided by the Client.
- Reputational or financial consequences resulting from how the Client chooses to use or distribute the video.
